Terms that Keep Partnerships Clear

By accessing or using the website softoasistech.com, or by engaging Softoasis Technologies Pvt Ltd ("Softoasis", "we", "us", or "our") for any services, you ("Client", "User", or "you") agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our website or services. We reserve the right to update these Terms at any time. Continued use of our website or services following any changes constitutes your acceptance of the revised Terms.

Softoasis Technologies Pvt Ltd provides a range of technology services including but not limited to: • Custom software and web application development • Mobile application development (iOS & Android) • UI/UX design and branding • Cloud infrastructure and DevOps services • AI/ML integration and automation solutions • E-commerce and CMS development • IT consulting and digital transformation The specific scope, deliverables, timeline, and pricing for any project are defined in a separate Statement of Work (SoW) or Service Agreement signed between Softoasis and the Client. In the event of a conflict, the signed agreement takes precedence over these Terms.

All quotations provided by Softoasis are: • Valid for 30 days from the date of issue unless otherwise stated • Estimates based on the information provided at the time of enquiry • Subject to revision if project requirements change after the quote is issued Final pricing is confirmed in the signed project agreement. Any additional requirements, scope changes, or revisions beyond the agreed scope may be subject to additional charges, which will be communicated and approved before implementation. We reserve the right to adjust our service rates at any time. Existing project agreements will honour the rates at the time of signing.

Unless otherwise agreed in writing: • A deposit of 30–50% of the total project value is required before work commences • Milestone-based payments apply for longer engagements as outlined in the project agreement • Final payment is due before delivery of final files, source code, or project handover • Invoices are payable within 14 days of issue • Late payments may attract interest at 1.5% per month on the outstanding balance Softoasis reserves the right to suspend or terminate services if payments are not received in accordance with the agreed schedule.

Upon receipt of full payment, Softoasis assigns to the Client all intellectual property rights in the custom work created specifically for the Client under the project agreement, including source code, designs, and deliverables. The following are expressly excluded from this assignment: • Pre-existing tools, frameworks, libraries, and code developed by Softoasis prior to the project • Third-party open-source components (governed by their respective licences) • Softoasis's internal methodologies, processes, and know-how Softoasis retains the right to display completed work in its portfolio and marketing materials unless the Client requests otherwise in writing. The Client warrants that any materials provided to Softoasis (e.g., logos, images, content) do not infringe any third-party intellectual property rights.

Both parties agree to keep confidential all non-public, proprietary, or sensitive information shared during the course of the engagement ("Confidential Information"). Confidential Information shall not be disclosed to any third party without prior written consent, except: • As required by law or court order • To employees or contractors who need it to perform their duties and are bound by equivalent confidentiality obligations This obligation of confidentiality survives termination of the agreement for a period of 3 years. If a separate Non-Disclosure Agreement (NDA) is executed, its terms shall govern confidentiality obligations between the parties.

To ensure timely and successful project delivery, the Client agrees to: • Provide clear, accurate, and complete project requirements • Designate a point of contact with authority to provide approvals and feedback • Respond to requests for feedback, content, or approvals within the agreed timeframes • Provide access to necessary systems, accounts, or third-party services required for the project • Ensure that any content provided does not violate applicable laws or third-party rights Delays caused by the Client's failure to meet these responsibilities may result in revised timelines and additional costs.

Minor revisions within the agreed scope are included in the project price. A revision is considered minor if it does not materially alter the design direction, functionality, or technical architecture agreed upon. Change requests that expand the scope of work will be handled through a Change Order process: • The Client submits the change request • Softoasis provides a revised estimate for additional time and cost • Work on the change proceeds only after written approval from the Client Softoasis will make reasonable efforts to accommodate changes without disrupting the project timeline, but cannot guarantee unchanged delivery dates following scope changes.

Softoasis warrants that: • Services will be performed in a professional and workmanlike manner • Deliverables will conform to the agreed specifications at the time of delivery • We have the right to provide the services described Softoasis provides a 30-day bug-fix warranty after project delivery. During this period, we will fix any defects that arise from our implementation at no additional cost. This warranty does not cover: • Issues caused by Client modifications to the delivered code or system • Third-party service failures or outages • Changes in browser or device compatibility after delivery • New feature requests or enhancements THE WEBSITE AND SERVICES ARE OTHERWISE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the maximum extent permitted by applicable law, Softoasis Technologies Pvt Ltd shall not be liable for: • Indirect, incidental, consequential, or punitive damages • Loss of profits, revenue, data, goodwill, or business opportunities • Damages arising from the Client's use of our deliverables in a manner not agreed upon In no event shall our total liability to you exceed the total fees paid by you to Softoasis in the three (3) months preceding the claim. Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Either party may terminate the project agreement with 14 days' written notice. Upon termination: • The Client shall pay for all work completed up to the termination date, including any non-cancellable third-party costs incurred • Softoasis shall deliver all completed work and work-in-progress to the Client upon receipt of outstanding payments • All confidentiality obligations shall survive termination Softoasis may terminate immediately and without notice if the Client is in material breach of these Terms, engages in illegal activity, or fails to pay outstanding invoices after a 7-day notice period.

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the services provided by Softoasis shall first be attempted to be resolved through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be Ranchi, Jharkhand, India. You agree to submit to the personal jurisdiction of the courts located in Jharkhand, India for any actions not subject to arbitration.

By using softoasistech.com, you agree not to: • Use the website for any unlawful purpose or in violation of any regulations • Attempt to gain unauthorised access to any part of the website or its servers • Transmit any harmful, offensive, or disruptive content • Scrape, crawl, or extract data from the website without permission • Impersonate any person or entity or misrepresent your affiliation We reserve the right to terminate or restrict your access to the website at any time, for any reason, without notice.
